[Remote] Legal & Governance Chair (Volunteer)

They are seeking a Legal & Governance Chair to provide leadership regarding nonprofit governance, organizational compliance, ethics, risk management, and board effectiveness.

Responsibilities

  • Review and recommend updates to bylaws, policies, and governance practices
  • Support board recruitment, orientation, and succession planning
  • Monitor compliance with nonprofit laws and regulations
  • Review conflict-of-interest disclosures and governance matters
  • Coordinate with outside legal counsel when needed
  • Serve on the Founder Legacy Committee
  • Support organizational risk management and policy development

Skills

  • Leadership regarding nonprofit governance, organizational compliance, ethics, risk management, and board effectiveness
  • Ensuring that Guideship operates in accordance with applicable laws, its governing documents, and nonprofit best practices
  • Review and recommend updates to bylaws, policies, and governance practices
  • Support board recruitment, orientation, and succession planning
  • Monitor compliance with nonprofit laws and regulations
  • Review conflict-of-interest disclosures and governance matters
  • Coordinate with outside legal counsel when needed
  • Serve on the Founder Legacy Committee
  • Support organizational risk management and policy development
  • Attorney, compliance professional, nonprofit executive, governance consultant, corporate secretary, or similar professional experience
  • Knowledge of nonprofit governance and board operations
  • Experience serving on nonprofit boards preferred
  • Commitment to ethical leadership and mission stewardship
